Terms of Service

Version 0.1 · Effective 2026-05-11

This is a demo. Settle is a side project at v0.1. Use tiny amounts only. Do not send funds without an explicit verification conversation with the operator. By using the service you accept these terms.

1. What Settle is

Settle ("the Service") is a neutral escrow API for agent work, operated by Ronak Daya as a personal project. The Service holds funds in escrow until verifiable conditions are met, then settles them. v0.1 supports stablecoin escrow for USDC on Base and USDG on X Layer. Stripe Checkout / Link is sandbox-only unless the operator explicitly says otherwise. The Service is not a bank, not a money transmitter, not an investment advisor, and is not insured by FDIC, SIPC, or any equivalent.

2. Not a money transmitter

The Service is provided in a limited demonstration mode. It does not currently hold a US state Money Transmitter License (MTL). It does not currently hold an Escrow Agent license in any state. Funds you transmit through the Service are at risk of total loss in the event of technical failure, regulatory action, or operator error. Do not use the Service for material amounts.

3. Eligibility

You may use the Service only if you (a) are at least 18 years old, (b) are not located in a jurisdiction sanctioned by the US Department of Treasury OFAC, and (c) are not listed on any OFAC sanctions list (SDN, etc). The operator may screen wallet addresses, account identifiers, and counterparties against the SDN list and refuse service for any reason.

4. Your responsibilities

  • You are responsible for the legality of your underlying contract - the parties, the amount, the condition, the deadline.
  • You are responsible for paying any taxes due on funds settled to you.
  • You are responsible for the accuracy of the information you submit to the Service.
  • You are responsible for safeguarding any claim tokens, API keys, or wallet credentials.

5. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE OPERATOR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE IS LIMITED TO ONE HUNDRED US DOLLARS ($100). IN NO EVENT WILL THE OPERATOR BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

7. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Wilmington, Delaware.

8. Changes

The operator may change these Terms at any time. Continued use of the Service after a change constitutes acceptance.
